甲方就委託乙方代為追討債務事宜，經甲乙雙方充分協商,達成如下協議：
1、甲方負責提供債務人名稱(或姓名)，詳細地址，聯繫人及聯繫電話，債權憑證複印件等相關資料和信息，債權憑證原件由甲方自行保管，待債款還清後銷燬。
2、甲方應協助尋找確認債務人，必要時可出面配合乙方的全面工作。
3、甲方全權委託乙方負責討回外欠債務事宜，乙方不得使用違反法律、行政法規的手段追討，乙方在追債過程中發生任何事情均與甲方無關。
4、乙方在追討過程中，發生的侵權行為或因追討受到損害的，均由乙方自行承擔，與甲方無涉，乙方不得要求甲方賠償。
5、甲方按照乙方實際追回債款數額的30%支付報酬。未追回債款的，乙方不得要求甲方支付任何費用，包括但不限於交通費、調查費、人工費、勞務費等。
6、在乙方主持調解下，甲方與債務人達成書面調解協議，甲方按債務人實際償還數額的15%支付報酬，並不計其他任何費用。
7、追回的債款，必須由甲方收取，待甲方收取後，按實際金額比例支付報酬，乙方在甲方未授權或未在場時收取債款的，甲方有權降低報酬標準至原定標準的一半。
8、自本合同簽訂之日起至180天內，凡甲方債款經乙方催要，債務人直接向甲方交款的，作為乙方代甲方追回的債款進行結算。超過180天的均不得視為乙方追討回債款，並不得要求甲方支付報酬。
9、本協議自雙方簽字或蓋章後生效,一式兩份,雙方各持一份.

甲乙雙方本着平等自願、互惠互利原則，就結成長期商務合作關係，經友好協商達成以下協議：
一、合作期限
本協議有效期為 年。自 年 月 日起到 年 月 日止。
二、合作內容
甲方權利義務
1、向乙方提供新產品的技術支持。
2、與乙方共同研發新產品。
3、如甲方自身還未與客户簽約時，乙方的合作進程則聽從甲方安排。
4、甲方向乙方推薦的客户與乙方直接簽約，甲方不負有任何責任。 乙方權利義務
1、向甲方推薦合適的客户或項目。
2、協助甲方促成與客户簽約。
3、為甲方推薦的客户提供最好的服務以及最優的價格。
4、乙方同意以約定的結算時間和方式進行結算。
三、合作條件
1、甲方向乙方或乙方向甲方推薦的客户成功與之簽約，即視為推薦成功。
2、成功推薦項目後，被推薦方向推薦方支付該項目實際營業額的2%做獎勵。
3、付款方式：自被推薦方首次收到客户服務費的第二個月開始支付，每月結算一次，每月5日前支付。推薦方則提供對應的正式發票。
四、違約責任
1、合作雙方在業務實施過程中，如因一方原因造成客户方商業信譽或客户關
系受到損害的，另一方可立即單方面解除合作關係。同時，已經實現尚未結束的業務中應該支付的相關費用，受損方可不再支付，致損方則還應繼續履行支付義務。
2、雙方在分配利潤時，如任何一方對利潤分配的基數、方式有異議的，可聘請會計師事務所進行審計。
五、補充變更
本協議在執行過程中，雙方認為需要補充、變更的，可訂立補充協議。補充協議具有同等法律效力。補充協議與本協議不一致的，以補充協議為準。
六、協議終止
1、甲乙任何一方如提前終止協議，需提前一個月通知另一方。
2、本協議期滿時，雙方應優先考慮與對方續約合作。
七、爭議處理：
如發生爭議，雙方應積極協商解決，協商不成的，受損方可向廣州市人民法院提起訴訟。
八、本協議經雙方蓋章後生效。本協議一式兩份，甲乙雙方各執一份，具有同等法律效力。

雙方經平等協商一致簽訂本合同，以確認各方權利與義務並共同遵守。
一、甲方委託乙方服務事項
甲方因融資 萬元事宜，委託乙方就融資方式、對象選擇、操作辦法、風險防範措施等事宜，委託乙方提供諮詢服務。
二、乙方服務內容
1、幫助甲方聯繫或者尋找適合甲方融資需求的對象;2、對甲方擬進行的融資方案進行可行性論證;3、幫助或者代理甲方與潛在的融資對象進行初步的商業談判或者協商;4、根據融資意向雙方的具體情況，為甲方擬定融資參考方案;5、幫助或者指導甲方準備融資方案執行過程中所需的.基本資料。
三、諮詢服務費
就乙方提供的諮詢服務，甲方向乙方支付的報酬為：甲方按實際取得融資額的 %向乙方支付服務費。服務費在融資通過審批並取得前一次性向乙方支付。
四、乙方服務期限
乙方收取甲方按本合同約定支付的服務費後，為甲方提供的服務至以下條件之一出現時止：
⑴ 甲方與合作對方實現成功合作，即甲方與合作對方主要合作合同簽訂;⑵ 甲方以書面形式通知乙方放棄融資計劃;⑶ 甲方已經實際失去融資條件;⑷ 甲方三次以上放棄與乙方聯繫的客户進行實質性談判。
五、保密
為履行本合同，甲方向乙方提供的融資信息、關於主體與資信情況的信息，經甲方特別明示為保密信息的，乙方應承擔保密責任，未經甲方書面許可不得擅自向第三人提供或者泄露，但為履行本合同所必需的除外。
六、風險承擔
1、乙方為履行本合同向甲方提供的所有信息、資料、方案與措施等均供甲方參考，對甲方使用後可能產生的風險不承擔任何責任。2、乙方對幫助或者指導甲方所取得的合作對方的調查資料的真實性，對合作對象資信狀況與承擔責任的能力不作任何保證。3、乙方對所提供諮詢服務是否能使甲方實現擬融資目的不作任何保證，甲方支付費用後，不得以任何理由要求乙方全部或者部分返還。4、對甲方與合作對方之間的合作合同的履行，乙方不承擔任何責任。
七、違約責任
1、甲方逾期支付費用的，乙方有權在收到費用前暫停履行本合同約定義務。2、甲方逾期支付服務費的，應按逾期支付金額每日千分之二向乙方支付違約金。3、乙方收到甲方費用後拒不提供本合同約定服務的，應全額退還甲方已支付服務費。
八、爭議解決方式
因履行本合同發生爭議雙方不能協商解決時，任何一方認為需通過訴訟方式解決的，由乙方所在地人民法院管轄。
十、其他
1、對本合同的修改需以書面方式進行，並且簽名代表人及印章應與本合同簽名與印章相符。2、本合同一式貳份，雙方可執一份具有同等法律效力。3、本合同經雙方簽章生效。

甲乙雙方經友好協商，就整合雙方的優勢資源開展國際合作，結成戰略合作聯盟一事達成如下協議：

一、合作領域co-operation domain
甲乙雙方擬在下列方面進行合作（包括但不限於以下方面）：

2、私募融資：乙方為甲方輸送的中國企業在英國境內進行私募融資；

3、企業服務：乙方為甲方輸送的中國企業提供在英國的分支以及獨立機構註冊及其管理服務，甲方為乙方輸送的英國企業提供在中國的分支以及獨立機構註冊及管理服務；
corporation services : party b will provide companyregistration and management services in uk to party a’s introducedchina corporation who intends to setup the subsidiary company,branch office or independent corporation in uk. party a willprovide same sort of services in prc to party’s introduced uk corporation who intends to setupthe business entity or office in prc.
4、文化經濟交流：甲乙雙方共同組織主辦在中國以及英國境內的各種金融投資、文化經濟交流活動以及國際間招商引資活動。

二、合作方式manner of co-operation
1、乙方授權甲方為其在中國境內的代表機構，負責乙方在中國的合作項目及相關事務。

2、甲方授權乙方為其在英國境內的代表機構，負責甲方在英國及國際的合作項目及相關事務。

3、甲乙雙方為對方提供翻譯1名，負責雙方日常事務的溝通交流；

4、甲乙雙方互設辦事處及電話轉、接聽服務。
bothparties will establish their own representation office and providecall transfer and pick-up services. both parties will mutuallydevelop periodical management communication system to ensure smoothdevelopment of co-operation business.
5、甲乙雙方共同建立高層定期溝通制度，保證各項工作的順利開展，甲乙雙方各自認定對方為其在對方所在國的戰略合作伙伴；為共同項目合作成功而努力。

6、甲乙雙方同意，在本協議有效期內，一方可以使用另一方所有合作項目中擁有合法著作權或者合法授權的文字、音頻、圖像等資源，如果一方在其網站上使用另一方這些內容時，該方須標明內容來自另一方。

7、涉及商務考察和項目運作費用，以及利潤分配等方面，甲乙雙方可通過簽定具體項目合同予以解決。

三、合作承諾：co-operation commitment
1、友好合作、緊密配合、互相尊重、互相學習為基礎；認可客觀中西文化差異性，吸收優秀文化，謀求中西融合、和諧發展。

四、甲乙雙方均認可本協議是對雙方合作的一種框架性安排，涉及到具體項目再另行簽訂相關合同書。

五、未盡事宜雙方協商解決。
