RECITALS

WHEREAS, Seller is the owner of the property of 14D, Building 3, Park View Tower; Seller desires to sell to Buyer, and Buyer desires to acquire from Seller, the entire ownership of the property and its associated granted land use right (the “Property”, as defined more specifically in Article 2 of this Sale Contract);

NOW, THEREFORE, after friendly negotiations and in consideration of the Property and the mutual covenants contained herein, the Parties hereby agree as follows:

Article I Representations, Warranties and Covenants

1.1 Seller hereby represents and warrants that Seller is the duly registered owner of the Property and possesses the complete beneficiary ownership rights to the Property. The Property is free from any encumbrance, including but not limited to mortgages and any other third party’s interest and/or other debt disputes.

1.2 Seller shall transfer the Property and its title deeds to Buyer in accordance with the terms of this Contract.

Article II The Property

Article III Purchase Price

Article IV Payment Method and Title Transfer Procedure

1.1 Any payment of the Purchase Price under this Contract shall be made in RMB by Buyer in accordance with this Contract. Any bank fees or charges incurred due to the payment should be borne by Buyer; any bank fees or charges incurred due to the receipt of the payment imposed by the Seller’s Bank should be borne by Seller. 1.2 Both Seller and Buyer appoint and fully authorize XXXX Law Firm (the “Lawyer”) to apply for the transfer of the title deeds of the Property and pay relevant taxes and fees and to take any other action and sign any document necessary to complete the above transfers promptly.

1.3 Within three (3) working days after the execution of this Contract, Buyer shall pay to Seller, as an advance payment, fifty percent (50%) of the Purchase Price, i.e. RMB ____________ (the “Advance Payment”).

1.4 Buyer shall pay, as the remaining payment, the other fifty percent (50%) of the Purchase Price, i.e. RMB ___________ (the “Remaining Payment”), by applying for the second hand property mortgage loan from the Bank (the “Bank”). The Bank sould directly pay all mortgage loan to Seller’s bank account as described above.

1.4.1 Within ten (10) working days after the execution of this Contract, Buyer shall sign the mortgage loan agreement and other relevant documents with the Bank, and get approval from the bank with respect to the mortgage loan application for the Remaining Payment. Buyer shall hand over the photocopies of the above-mentioned documents to the Lawyer.

1.4.2 Within ten (10) working days after the execution of this Contract, both Parties and the Bank shall sign a tri-party agreement (the “Tri-party Agreement”) in which the Bank agrees to release the loan (equivalent to the Remaining Payment) to Seller’s account directly. Buyer shall hand over the photocopy of the Tri-party Agreement to the Lawyer.

1.4.3 After Seller confirms the receipt of the Advance Payment, and upon receipt by the Lawyer of all of the documents and taxes and fees from both Parties as described in Article 6 and Article 7 of this Contract, and within three (3) working days after the documents mentioned in Article 4.4 above are provided to the Lawyer, Lawyer shall submit the transfer application (with all necessary supporting documents) of the Property Ownership Certificate to Beijing Construction Committee Real Estate Exchange Center (the “Center”). Within three (3) working days after the transfer of the Property Ownership Certificate is completed, Lawyer shall submit the transfer application (with all necessary supporting documents) of the Land Use Right Certificate to Beijing Land & Resource Bureau.

1.4.4 After the Property Ownership Certificate and the Land Use Right Certificate are transferred to Buyer, and after Lawyer receives all the original certificates, Lawyer shall provide to the Bank with these certificates in accordance with the terms of the Tri-party Agreement. The bank, who will apply for the mortgage registration of the Property, shall release the loan (Remaining Payment) directly to Seller once the mortgage registration is completed.

1.4.5 In case that the Bank has not approved the drawdown of the loan or the loan paid to Seller is less than the Remaining Payment within two (2) months after Lawyer provides the Property Ownership Certificate and the Land Use Right Certificate to the Bank, Buyer agrees to make full payment of the Remaining Payment within five (5) working days after the above-mentioned two (2) months period expires.

Article V Taxes and fees

Except as otherwise provided therein, each Party shall be responsible for and shall pay all taxes and fees resulting from or payable in connection with the transactions contemplated in this Contract as are imposed upon such Party by PRC Law.

第一條 房屋的基本情況Conditions of the house

買受人購買的房屋(以下簡稱該房屋),其房屋平面圖見本合同附件一,房號以附件一記載為準 ,1號樓15層3號房。

The house being purchased by the buyer (hereinafter referred to as the house) is the house of the room No.3 on 15 floor in the building No. 1, as the ichnography thereof in Appendix 1 and the number of house subject to the same.

第二條 計價方式與價款 The Means of calculation and the Price

出賣人與買受人約定按下述第1種方式計算該房屋價款:

第三條 付款方式及期限 The Payment and Term Limit

買受人按下列第 1種方式按期付款。

The buyer shall effect the payment by the first means as following.

1.一次性付款 。買受方在簽訂購房合同後2日內向出賣方一次性支付房款,¥847,390.00元,大寫:捌拾肆萬柒千叁百玖拾元整。

Installments. The 20 % of payment of purchasing house ¥ should, prior to the date of upon the signature of this contract, be paid in advance by the buyer and the remain of payment should be paid until delivery of the house’s key.

3.其他方式 The other means of payment.

買受人逾期付款的違約責任

The buyer’s responsibility of delay for payment.

買受人如未按本合同規定的時間付款,按下列第 種方式處理:

Where and if, the buyer fail to effect the payment at the time stipulated herein, shall be dealt with by the means as following.

1.按逾期時間,分別處理(不作累加)

The treatment separately by the time overdue without accumulated sum.

(1) 逾期在30日之內,自本合同規定的應付款期限之第二天起至實際全額支付應付款之日止,買受人按日向出賣人支付逾期應付款萬分之二十的違約金,合同繼續履行;

Where and if, within 30 days of overdue time, the buyer should, commence on the second day stipulated to make payment hereby until the day on which full and all payment payable have been made physically, effect the fine of breach of daily 20 /10 000 ( Twenty Ten Thousand) to the Seller and continue to perform this contract.

(2)逾期超過30日後,出賣人有權解除合同。出賣人解除合同的,買受人按累計應付款的20%向出賣人支付違約金。買受人願意繼續履行合同的,經出賣人同意,合同繼續履行,自本合同規定的應付款期限之第二天起至實際全額支付應付款之日止,買受人按日向出賣人支付逾期應付款萬分之二十的違約金。

Where and if, the buyer is desirous of further performance of this contract which can be, through the consent of the seller, further performed. The buyer should, commence on the second day stipulated to make payment hereby until the day on which full and all payment payable have been made physically, effect the fine of breach of daily 20/10 000 ( Twenty Ten Thousand) to the Seller and continue to perform this contract.

第四條 交付期限 The time limit of delivery

出賣人應當在2009年12月10日前,依照國家和地方人民政府的有關規定,將具備下列第4種條件,並符合本合同約定的房屋交付買受人使用:

The seller should, prior December 10, 2009 in accordance with the relevant provisions of State and local People’s government, provide the house conforming to the 4th condition following and stipulations herein to the buyer for use.

1.該房屋經驗收合格。 Qualification through inspection and acceptance.

2.該房屋經綜合驗收合格。 Qualification through comprehensive acceptance.

3.該房屋經分期綜合驗收合格。

Qualification through comprehensive acceptance by stages.

4.該房屋取得商品住宅交付使用批准文件。

The approval documents for delivery and use of commercial residential house have been awarded.

但如遇下列特殊原因,除雙方協商同意解除合同或變更合同外,出賣人可據實予以延期:

遭遇不可抗力,且出賣人在發生之日15 日內告知買受人的;

The seller could, in case of special reasons, postponed the time of delivery depending on the circumstances except to take the termination or alteration of this contract. Where and if, force majeure incurred, the seller should, within 15 days upon the date of the occurrence, send the notice to the buyer for such matter.

出賣人逾期交房的違約責任:

The liability of delivery of the house overdue time by the seller.

除本合同第八條規定的特殊情況外,出賣人如未按本合同規定的期限將該房屋交付買受人使用,按下列方式處理;

Where and if, the seller fail to deliver the house to the buyer within the time as stated herein, except the particular circumstances as stated by Article VIII herein, shall treat according to the following manner.

1.按逾期時間,分別處理(不作累加)

By the time overdue separately without accumulated amount.

(1)逾期不超過20日,自本合同第八條規定的最後交付期限的第二天起至實際交付之日止,出賣人按日向買受人支付已交付房價款萬分之20 的'違約金,合同繼續履行;

The seller should, in case the overdue period not exceed 20 days, pay the breach penalty at the rate of 20 /10 000 of the amount paid by the buyer per day from the last delivery date stipulated by Article 8 herein until the date of actual delivery and this contract continue performance.

(2)逾期超過20日後,買受人有權解除合同。買受人解除合同的,出賣人應當自買受人解除合同通知到達之日起3天內退還全部已付款,並按買受人累計已付款的20%向買受人支付違約金。買受人要求繼續履行行合同的,合同繼續履行,自本合同第八條規定的最後交付期限的第二天起至實際交付之日止,出賣人按日向買受人支付已交付房價款萬分之二十的違約金。

Where and if, overdue more than 20 days, the buyer is entitle to terminate this contract. The seller should, upon termination of contract by the buyer, within 3 days from receipt of the termination notice of the buyer, refund all paid sum and pay breach penalty at the rate of 20% of cumulative payment. In case of requirement of further performance of contractual obligation by the buyer the contract continue to be performed, and the seller should pay the breach penalty at the rate of 20/10000 of the amount paid by the buyer per day from the last delivery date stipulated by Article 8 herein until the date of actual delivery.

第五條 交接 Delivery and taking over

房屋達到交付使用條件後,出賣人應當書面通知買受人辦理交付手續。雙方進行驗收交接時,出賣人應當出示本合同第八條規定的證明文件,並簽署房屋交接單。所購房屋為住宅的,出賣人還需提供《住宅質量保證書》和《住宅使用説明書》。出賣人不出示證明文件或出示證明文件不齊全,買受人有權拒絕交接,由此產生的延期交房責任由出賣人承擔。

The seller should, upon the conformance of the conditions of house delivery, inform the buyer in writing to effect the procedures of delivery and taking over. The seller should, for the inspection and delivery / taking over between the parties hereof, bring forth the certificate documents specified in Article 8 herein and sign the list of house delivery / taking over. In case of residential housing the “QULITY ASSURANCE OF HOUSING” and “RESIDENTIAL MANUAL should be produced by the seller, if, without or insufficiency of the same, the buyer is entitle to refuse to taking over and the responsibilities of delay to delivery due to such reason shall be born by the seller.

第六條 無產權糾紛 Without the disputes of property

出賣人保證銷售的房屋沒有產權糾紛和債權債務糾紛。因出賣人原因,造成該房屋不能辦理產權登記或發生債權債務糾紛的,由出賣人承擔全部責任。

The seller guarantee the sold house without any dispute of title or property as well as claim and debt. The seller should, if, the failure of conducting the registration of property or the occurrence of claim and debt due to the reason of seller, take full responsibility therefore.

第七條 產權登記 The Registration of Property Rights

出賣人應當在房屋交付使用後20日內,將辦理權屬登記需由出賣人提供的資料報產權登記機關備案。如因出賣的責任,買受人不能在規定期限內取得房地產權屬證書的,雙方同意按下列第 項處理;

The seller should, within 20 days from the date of delivery of the house, present the property registration authority with documents required to submit by the seller for conducting property registration. Where and if, the buyer couldn’t acquire the certificate of real ownership within the prescribed time limited, the parties hereto agree to deal with the same by following item hereof.

1.買受人退房,出賣人在買受人提出退房要求之日起5日內將買受人已付房價款退還給買受人,並按已付房價款的20% 賠償買受人損失。

The seller should, upon the cancellation of the house purchase herewith, within 5 days commencing the day on which the buyer require to cancel such deal, refund the amount paid by the buyer to the same and indemnify the buyer against loss at the rate of 20% of the amount paid.

2.買受人不退房,出賣人按已付房價款的20%向買受人支付違約金。

In the respect of remaining the deal, the seller should, at the rate of 20% of the amount paid, pay the breach fine to the buyer.

第八條 使用房屋的責任 The responsibilities of using of the house

買受人的房屋僅作住宅使用,買受人使用期間不得擅自改變該房屋的建築主體結構、承重結構和用途。除本合同及其附件另有規定者外,買受人在使用期間有權與其他權利人共同享用與該房屋有關聯的公共部位和設施,並按佔地和公共部位與公用房屋分攤面積承擔義務。

出賣人不得擅自改變與該房屋有關聯的公共部位和設施的使用性質。

The house hereof shall be only used as dwelling house. The buyer cannot, during the use of the house, change without authorization the main structure, load-bearing structure and purpose. Except as otherwise provided in the contract and its annexes, the buyer is entitle to enjoy, during the use of the house, with other rights holders, the public sites and facilities relating to the house and bear the obligation herewith pro rata the land area thereon and the proportion areas of the public sites and facilities.

The seller can not change without authorization the use nature the public sites and facilities being association with the house.

第九條 爭議解決方式 The settlement of disputes

本合同在履行過程中發生的爭議,由雙方當事人協商解決;協商不成的,按下述第 種方式解決:

The any disputes occurred in the performance of the contract shall be settled through consultation by the parties hereto, in case no settlement can be reached through negotiation, shall be settled by the means of as following:

1.提交仲裁委員會仲裁。To submit the arbitration committee for arbitration.

2.依法向人民法院起訴。Bring an litigation to the People’s court by law.

第十條 未盡適宜 Other matters

本合同未盡事項,可由雙方約定後簽訂補充協議。

The matters not covered herein shall be agreed by the supplemental agreement following the signature of this contract.

第十一條 附件效力 The effective force of annex

合同附件與本合同具有同等法律效力。本合同及其附件內,空格部分填寫的文字與印刷文字具有同等效力。

The annex hereto shall have the equal legal effect with this contract. The words of hand-write and printing in the blank of this contract and annex shall be equally authentic.

第十二條 份數 Copies

本合同連同附件共頁,一式二份,具有同等法律效力,合同持有的情況如下:

第十三條 合同的登記備案 The registration of the contract
