此合作協議(下文簡稱協議) 由“success compu china”(中方公司)和“tosan systemco”(伊朗方公司) 訂立。

1it was decided that chinese party do as second party’s vision fordesigning and preparing producing line in china.

協議決定中方為第二方,在中國設計和準備生產線。

2it was decided to supply raw material in china in best conditionsand do necessary production same as both two party agreement inchina and then send them to iran for complete production。

協議決定中方根據雙方協議規定在中國提供原材料及做些必要的加工,並將半成品發到伊朗完成生產.

3it was decides that chinese party transfer technology andexperiences that contain sending some specialists and technicalknowledge to iran.

協議決定中方轉移技術及生產管理經驗給伊方,其中包括派送專家及傳授技術知識。

iranian party伊方義務

1iranian party committed to prepare suitablefactory for setting up machines and producing line, and preparingthe raw material store in considering of chinese party opinion.

伊方致力於準備合適的工廠便於按裝機器和生產線，並參照中方的意見準備材料倉。

2it was decided iranian party apply for all of the necessary rightsfor ma-ki-ng production in iran.

協議決定伊方在伊朗可以申請所有關於生產方面的必要權利。

3iranian party is committed to employ good workers with consideringthe chinese party’s idea.

伊方致力於參照中方的意見聘用好的工人。

4iranian party is committed to make the best situation for sellingthe products.

伊方致力於創造最好的銷售情況。

investment投資

it is committed that both of the chinese and iranian party shareall of the required investment amount of this project including rawmaterial investment, preparing factory, producing line, cost ofproducing and selling cost in half and half.

中方和伊方雙方致力於各承擔50%的投資成本,其中包含原材料的投資成本,準備工廠的成本,生產線的.成本,生產成本及銷售成本。

the responsibility of raw material needed for production lineand guarantee the quality of them and also guarantee the quality ofproducing line and also the teaching the workers in our factory andalso shipping the cargo to iran is on chinese party and

中方責任是提供生產所需的質量合格的原材料,合格的生產線,指導工人規範作業並安排發送散貨到伊朗。

the responsibility of supervision on factory, sale the goods andthe arrival of the claims is on iranian party.

伊方責任是管理工廠，銷售的商品和處理客人投訴索賠事宜。

cost成本

all of the project cost including shipping cost to iran, customduty cost in iran, factory cost in iran and workers cost inproducing line, marketing cost and selling cost shall be consideredin calculating final cost.

所有成本包括到伊朗的運費,伊朗產生的關税,伊朗工廠的開支,生產線員工的工資,市場成本及銷售成本,以上這些都要考慮計算在最終的成本里。

profit sharing 利潤分配

it is committed to after producing and selling the goods all ofthe direct and indirect cost will be reduce from the sold price ofthe goods and the balance will be shared between iranian party andchinese party in special percentage that will be committedlater.

在生產和銷售中產生的所有直接及間接開支從商品出售價格中扣除後,省下的利潤伊方和中方將安排特別的比例來分享,具體比例將在以後提出。

產品生產合作協議 [篇2]

為了能充分發揮雙方企業資源優勢，本着互利雙贏、共同發展的原則，甲、乙雙方就 oem產品貼牌生產項目達成如下協議：

一． oem產品名稱、規格型號：

二． 合作期限及方式：

1、合作期暫定為十年。自2015年 月 日起始至 年 月 日。

2、合作方式：委託貼牌生產，經營關係獨立核算。

三． 產品製作：甲方提供產品技術參數、質量檢驗規範標準及圖紙資料。乙方負責組織生產。並確保產品質量符合甲方技術文件規定要求。產品質量以甲方驗收確認為準；交貨期按甲方訂單要求完成任務。

四． 產品包裝：除品牌商標及與產品相關的説明書、標貼、銘牌、合格證、保修卡等資料由甲方提供外，其餘內外包裝物及材料均由乙方負責，並依照甲方產品訂單要求之規定，完成產品包裝作業任務。

五． 產品技術質量及驗收、交貨地點：

1. 甲方按產品規格型號提供圖紙資料供乙方參照生產，樣機完成經甲方檢驗確認合格後，作為實物標本封存以備今後雙方在檢驗驗收出現異議時參照鑑別。

2.乙方生產產品所使用的材料，必須符合國家相關行業質量標準和環保質量標準要求。 甲方有權派員對貼牌產品生產過程的原料、配件等質量控制進行監督、檢測，乙方應予以積極配合和協助。

3．產品質量驗收標準及方法：按甲方產品質量驗收規範標準（詳見合同附件1）執行。
