為了明確各自的的權利和義務，更好的開展工作，經雙方協商，達成以下協議：
第一條 乙方的權利和義務
1、簽訂協議後，經甲方授權，乙方在當地成立_________網站分支機構，並以甲方名義在當地開展工作，辦公地點及辦公設備乙方自行解決
2、乙方有權要求甲方提供便於開展工作的相關文字資料，辦班或舉辦講座，在師資方面有權要求得到幫助。可優先優惠運作聯合會策劃的各種項目。
3、協議簽定後，乙方須上交加盟合作費人民幣_________元，時間為簽定協議即日起一年。合作雙方滿意可續簽。
4、乙方每次開公開課或內訓課需要甲方幫助設計課程和聘請老師，需提前25天申請，老師的講課費用和差旅費由乙方負責。
5、乙方給當地學員發_________資格證書，按實際證書成本費支付給甲方：初級（_________元）、中級（_________元）、高級（_________元）、特級（_________元）。其他證書都是按實際價格支付，各種不同證書有不同補充協議。
6、乙方以甲方的名義在當地開展工作必須遵紀守法，按照協議條理開展工作，否則，撤銷合作協議並追究法律責任。
第二條 甲方給予乙方以下支持
1、品牌資源：享受_________品牌帶來的影響力及連鎖加盟體系，統一標識、統一形象、統一管理體系、統一運作模式等，還可聯繫國家有關部委相關部門以及國家一級社團組織，參與主辦有關大型社會活動。
2、項目資源：甲方將為乙方精心設計、獨具特色的專業培訓及系列課程、權威資格認證及管理諮詢項目，並不斷開發新的具有市場核心競爭力的優秀項目，以適合培訓市場的需求，適應市場變化。
3、人力資源：甲方為乙方提供政府官員、中外知名專家教授、高級培訓師、著名企業家、職業經理人資源，為加盟合作者節省公關經費，節約講師課費等許多費用，輔助合作伙伴建立永續的人力資源保障。
4、管理模式：甲方為乙方提供完善的管理系統及人事培訓，傳授_________培訓認證管理模式，規範並完善合作伙伴培訓認證體系，使其更具號召性、權威性、系統性、科學性。
5、協助運作：結合_________先進的培訓認證模式及系統體系，甲方為乙方提供管理支持，指導並協助合作伙伴在所轄區域內的培訓認證教育市場運作。
6、市場支持：甲方將細分市場，保證加盟機構在同一城市或地區僅此一家，以確保該加盟機構的市場佔有率及利潤。結合_________遍及全國的營銷網絡，形式多樣的市場活動，加強及擴大乙方的市場影響力。
7、資料支持：甲方為乙方提供目前所有的培訓認證教育教材（或講義）、資格證書、結業證書、研修班證書、全國企業經營管理人才庫證書及培訓認證市場宣傳資料，幫助合作伙伴開拓培訓市場，獲取利潤。各種證書的價格補充協議規定。
8、網站支持：甲方_________網站將宣傳乙方，併發布乙方關於公司簡介、管理培訓、資格認證、管理諮詢及其他服務在內的最新信息。
9、信息支持：有專業部門收集國內外教育市場信息，綜合分析提供給乙方，以便乙方隨時掌握國內外教育流行動態、各類教育資訊。
10、策劃支持：甲方將為乙方提供論壇、年會等大型活動的具體策劃方案，利用成功的策劃方案進行復制和推廣。
11、辦事處支持：甲方可作為乙方_________辦事辦公寓所，輕鬆實現乙方駐_________辦事處的部分功能。
第三條 甲方的權利及協議的期限和解除
1、甲方有權指導和監督乙方開展工作，有權對乙方違規違紀事件進行嚴肅處理。
2、本協議自甲乙雙方簽字蓋章之日生效，雙方無法協調一致開展工作時解除。
3、本協議一式二份，甲乙雙方各執一份，具有同等法律效力。

乙方：
甲、乙雙方就合作舉辦培訓班事宜，經友好協商，達成協議內容如下：
一、合作辦學內容
甲乙雙方合作舉辦培訓班（以下簡稱培訓班），每期人，每期天。
二、教學模式
根據教學需要，學生在甲方所在地上課。按甲乙雙方共同制定的教學計劃完成規定的課程，。
三、合作期限
雙方合作期限從年月日起至年月日止，如需續簽雙方另行商定。
四、甲乙雙方的權利和義務
（一）甲方的權利和義務：
1、甲方負責與招生相關的一切工作。甲方有權以甲方的名義開展招生工作。
2、甲方全權負責培訓班的管理工作：任命負責人；確定招生規模；選聘教師和其他管理人員；選擇教材；組織教學；管理學生等等。
甲方承擔下述義務：
1、負責培訓班的費用。
2、提供場所和設施。
3、支付乙方費用或報酬。
4、甲方掌管培訓班的財務工作。
（二）乙方的權利和義務：
1、督促與檢測教師的日常教學，包括：備課、練課、與學生、家長溝通、電話回訪等細節工作的落實
2、如沒有合格的教師，乙方有權力自行招聘並任用，以保證教學質量。
3、確保培訓效果，維護品牌及雙宇教育的聲譽
4、輔助招生、負責教師聘任及培訓工作。
5、公開課操練輔助招生，提供相關招生、宣傳策略。。
五、利益分成
1、按學生學費甲方佔乙方佔。
2、為學生髮送的教材、禮品等雙方各佔。
六、違約責任
1、由於甲、乙任何一方違約，造成本協議不能履行或不能完全履行時，守約方有權要求終止協議，並要求違約方賠償全部經濟損失。如雙方同意繼續履行協議，違約方應賠償其違約行為造成的損失。
2、甲、乙雙方依照協議分配的或依照協議規定所應承擔的協作任務，因不可抗拒的事由確屬無法承擔的，應在不可抗拒的事由發生後1周內，及時通知對方。甲、乙雙方由於不可抗拒的事由確實無法承擔協作任務，而給他方造成經濟損失的，不負賠償責任；由於其它原因不願繼續承擔協作任務，而給他方造成經濟損失的，應當承擔賠償責任。
七、其他
1、實施中如有其它未盡事宜，雙方本着友好平等的精神協商解決，並簽訂書面補充協議。補充協議作為本合同組成部分具有同等法律效力；
2、本協議若發生任何糾紛，應首先通過協商方式解決；協商不成，任何一方均可向當地法院申請訴訟；
3、本協議一式肆份，甲乙雙方各執貳份，自甲乙雙方簽字蓋章之日起生效。

一、合作雙方the two parties
甲方是中國教育部直屬211工程大學，是具有自主辦學資質的高等教育機構，可與外國教育機構合作，開展教師交流、學生交換和留學預科教育和中外合作辦學等國際教育交流合作。
美國大學是也是中國教育部承認學歷的美國正規大學。

二、合作目的與宗旨purpose & aim
甲乙雙方以互惠、互信、互利為原則，發揮各自的資源優勢進行合作，以取得良好的經濟和社會效益，提升各自的社會影響力。甲方提供教育平台和教育硬件，乙方引進美國優質的教育資源和先進的美國教育管理，雙方合作開發中美兩國教育市場。
takingmutual trust, mutual reciprocity and mutual benefit as theprinciple, both party a and party b shall cooperate on one’s ownresource advantages in order to reap favorable social and economicbenefits, and promote one’s own social influence power. party ashall offer the educational platform and educational hardware, andparty b shall introduce high-quality educational resources andadvanced ideas in educational administration from u.s.a. both sidesshall develop the education market in both china and the eratively.
三、合作內容及方式content & mode
1.甲乙雙方合作，在甲方開辦赴美留學的.培訓項目。

2赴美培訓項目為非學歷教育，引進全美大學通用的，可替代託福成績的esl英語證書培訓課程，目的是為了使留美學生到美國後，其英語水平能夠達到與母語為英語的學生一起上課的要求。

3由甲方提供場所及教學設施，負責招生，乙方提供課程的全部師資、教材、教育教學軟件和證書。

4.招生人數少於人不得開班。

四、甲乙雙方的權利與義務rights & obligations of both parties
（一）甲方party a:
1.負責赴美留學項目開辦的相關立項和報批手續。
to beresponsible for relevant formalities in launching, reporting andobtaining approval for the study in u.s.a training program ofesl.
2.負責提供赴美留學英語培訓項目的教學設施及相關服務。
to beresponsible for offering teaching facilities and relevant servicesfor the study in u.s.a training program of esl.
3.負責教學質量的監控，確保教學計劃的順利實施。如乙方所提供的師資質量出現問題，甲方有權保留提出整改並進一步更換師資的權利
to beresponsible for the supervision and control of the teaching qualityto ensure the smooth implementation of the program. should theteachers dispatched by party b not match the quality requirements,party a reserves the right to demand correction and change theteachers concerned.
4.負責項目宣傳和招生。
to beresponsible for propagating and enrolling new students of theprogram.
5.負責收取學生的學費、住宿費等。
to beresponsible for gathering tuition fees and dormitory charges fromstudents.
6.負責按照本協議的約定，將乙方應分得學費及時、足額地支付給乙方。
to beresponsible for paying in full and in time the part of tuition feesdue to party b according to the terms of this agreement.
7.負責教學安排和學生管理。
to takecharge of teaching arrangement and managing students.
8.負責美方教師的食宿安排，並支付規定的食宿費，共計每人每年人民幣元，其中住宿費為人民幣元/年/人，伙食費為元/年/人。

（二）乙方party b:
1.同意甲方以與美國大學合作的名義開展赴美留學英語培訓項目。

2.負責為甲方提供招生宣傳資料和招生簡章的主要內容。
to beresponsible for offering the main content of the propagandamaterial and school admission brochure for party a.
3.負責提供留美預科班的全部師資、教材、教學軟件和全美大學通行的esl英語證書,並確保提供師資的質量，自願接受甲方的教學監控。
tobe responsible for providing all the teachers of the study in paratory course program, teaching materials, teaching softwareand esl english certificate commonly recognized among usuniversities.
4.負責美方教師往返中國的機票和薪酬。
to beresponsible for the us teachers’ plane tickets and salary tochina.
5.負責美方教師在中國期間的人身意外和醫療保險。
to beresponsible for the us teachers’ personal accident and medicalinsurance during their stay in china.
6.負責為參加赴美留學英語培訓班學習的學生申請美國大學，併為美國大學錄取。
to applyfor students who participate in the program of studying in ining program of esl, and ensure that they are admitted by a usuniversity.
7.負責為赴美留學英語培訓班的學生申請到美國大學給予國際學生最優厚的獎學金。
to beresponsible for applying for the best scholarship which the usuniversity can grant to international students for students in theprogram of studying at u.s.a training program of esl.
8.負責為赴美留學英語培訓班的學生提供赴美簽證培訓和代理赴美簽證服務。
to offerthe necessary training and service of visa application to studentsin the program of studying in u.s.a training program of esl tofacilitate their obtaining the us entry visa.
五、收費和雙方利益分配charges and profits distribution
1.學費：培訓、考試及證書費用為每人每期元人民幣，報到註冊時一次性-交清。其中甲方分得％，乙方分得％；各自用於辦學成本開支。學費由甲方統一收取，在每個學期開學後15個工作日內由甲方將乙方應分得部分劃入乙方在北京的指定賬户。

2.教材費：由乙方以合理價格收取。

3.學生住宿費：按甲方標準收取。

六、合作期限cooperation term
本協議自甲、乙雙方簽字之日起生效，有效期兩年。協議到期前三個月，如雙方一致認為可以繼續合作，可正式續簽書面協議。
theagreement shall come into effect after being signed by both sides,and it shall last for two years since the signed date. if bothsides consider it necessary to continue the cooperation, then anofficial written agreement of extension shall be signed threemonths before the expiration.
七、協議的變更change of the agreement
本協議未盡事宜，或需變更，須經甲、乙雙方共同協商，做出書面補充協議；補充協議與本協議具有同等法律效力。
any changeor affairs not stated in this agreement shall be covered by writtensupplemental agreement reached between both sides throughnegotiation. the supplemental agreement has the same legal effectas this agreement.
八、協議的終止和不可抗力terminationand force majeure
1.本協議有效期滿時，自動終止。
theagreement will be automatically terminated uponexpiration.
2.由於政治原因、自然災害、戰爭及其它不可預見因素，或對其發生及後果不能防止或避免的不可抗拒因素影響本協議的履行或不能按預定條件履行的，遇上述不可抗拒因素的一方應立即通知對方，並應在三十日內提供詳情及有效證明文件。因不可抗力致使本協議中止時，簽約雙方互不承擔經濟責任。因不可抗力致使本協議中止時，簽約雙方應共同對參加本教育項目學習的學生做出妥善安排，並將學生的損失降到最低限度。
whenunpredictable circumstances like political policy, naturaldisasters, war or other force majeure whose occurrence andconsequences cannot be prevented, and which leads to the situationin which the agreement cannot be carried out or be implemented asplanned, the party who suffers one of the above shall notify thecounterpart without delay and provide details and valid supportingdocuments within thirty days. if the agreement has to terminatebecause of force majeure, neither side shall bear the economicresponsibilities. in addition, both parties shall make properarrangements for participants of the education program, and dotheir best to minimize the students’loss.
3.本協議執行期間，任何一方如有不規範操作，違背協議約定，在對方提出三次整改要求後仍未改正的情況下，對方有權提出解除本協議。但甲、乙雙方應繼續履行各自職責，完成未完成的培訓，不得侵犯已入學學生的合法權益。
duringimplementation of the agreement, if any party’s improper conductsbreach the agreement, and the said party makes no corrections afterthe counterpart’s warning for three times, the counterpart shallhave the right to suggest terminating the agreement.
nevertheless, both sides have duties to complete theongoing training and must not violate the legal rights andinterests of the enrolled students.
九、違約責任的認定和賠償
establishment ofbreach responsibilities and indemnifications
1.簽約的任何一方，不能按約定的時間、方式和要求履行本協議應承擔的責任、義務，均視為違約。
it shallbe regarded as breach if any side cannot implement the agreementand perform its own duties or responsibilities in accordance withthe time, manner and requirements stipulated.
2.違約方因其違約行為造成本協議目標不能實現或給簽約對方造成經濟損失，均應承擔相應的賠償責任。
ifbehaviors of the breach side cause the objective of the agreementnot being realized or cause economic loss for the counterpart, thebreach side shall bear the relevant compensation duties.
3.違約方因其違約行為或因已方不當行為侵害了教育項目的學生合法權益，或社會相關方面合法權益，或違反了中國法律及政府法令，均應獨自承擔相應的法律責任。
if thebreach behavior or improper behavior of the breach side violatesthe legal rights or interests of the students in this educationprogram, or the relevant legal rights or interests of relatedorganizations in the society, or the laws or government decrees ofprc, the breach side shall undertake the related legal dutiesindependently.
4.違約方因其違約行為或因已方不當行為引發與第三方糾紛，致使無責任的簽約方被要求承擔連帶賠償責任時，無責任的簽約方有權要求有違約責任或實施不當行為的簽約方賠償相應的損失。
thebreach behavior or improper behavior of the breach side causesdispute with a third party and involves the counterpart into thecompensation affairs, the party who has no fault shall have theright to request the breach side (or the side which has improperbehaviors) to indemnify the relevant loss.
十、爭議的解決dispute settlement
1在履行本協議的過程中，甲、乙雙方欲告之對方的重要事項，以書面確認函的內容為準。
in theprocess of agreement implementation, notification of importantmatters by one party to the other shall be based on the content ofthe confirmation letter.
2本協議在執行過程中如發生爭議時，先由甲、乙雙方協商解決。
anydispute in the implementation of the agreement shall first beresolved through negotiation by the two parties.
3不能協商解決的爭議，甲、乙雙方可向有管轄權的人民法院起訴。

一、雙方的權利和義務
1、甲方的權利和義務
①甲方有義務保證對輔導學生的教學質量
②甲方根據家長和學生需求有權利決定輔導方式，乙方不得干涉。
③甲方有權利定期對輔導學生和家長進行溝通回訪，如發現反饋情況不符合事實，有權利取消合作關係。
2、乙方的權利和義務
①乙方有義務及時聯繫和反饋甲方提供的信息。原則上當天反饋聯繫情況，無論成否。 ②乙方有權利對甲方的服務進行監督。
③乙方有權利對甲方的服務進行評定，並決定是否繼續合作。如果對金牌教育的服務不滿意，可以隨時取消合作關係。
二、合作細則
1、乙方與甲方共同編寫廣告短信，家長答問，課程設計，招生策劃，乙方為甲方選派國中老師團隊。
2、甲方為乙方提供高中老師住宿，高中輔導教室。乙方可付5000元的住宿和教室費。開課兩日內付清。
3、前期招生方案由甲方和乙方共同商討制定，招生方案由甲乙雙方共同執行，國中招生不利，需甲乙雙方共同探討解決辦法，開課後一週時間，乙方為甲方選派老師不得擅自離開崗位。
4、如果乙方招生不利，無需甲方住宿和教室，甲方應付乙方前期策劃和選派老師的除房租預付款的費用
5、甲方對乙方推薦的五位國中教師（語數理化英）要開課前説明薪酬即代課費，開課3天內做出評價，認為不滿意的辭退按説好的代課費給付已上課時，乙方可以再推薦一位同科目教師頂替。3天內甲方沒有提出，則乙方認為教師合格，不負責更換教師。如教師離開需推薦頂崗教師，否則按違規處理
6、甲方對外地國中教師的交通安全要特別重視，為他們提供力所能及的幫助。由於外地國中老師對甲方服務不周或代課費沒有按提前約定給付導致的教師流失，乙方不負責再推薦教師。
7、乙方選派教師有義務推廣金牌教育北京四中網校網絡課程和新學年精品晚輔班。
三、招生宣傳方式
1、對甲方現有學生進行宣傳，利用甲方現有信息對暑假課程進行電銷，短信羣發等
2、由甲方製作宣傳海報，傳單等在各小區發放，設置宣傳位；在考試期間在考場附近散發傳單對暑期初高中課程進行統一宣傳，由乙方承擔宣傳品製作費用的百分之三十
3、由乙方向甲方提供選派教師信息，教學成就，方便甲方宣傳（例如將乙方教師打造為輔導名師等）
4、由乙方承擔後續宣傳費用的百分之三十
四、收費方式
1、七年級課程招生，學習數學英語，閲讀寫作，寫字25天共四門600元單科300元
2、八年級課程招生，學習數學英語物理25天共三門700元單科350元
3、九年級課程招生，學習數理化英25天共四門1000元單科400元
五、提成
甲方提成為銷售額的百分之五十，乙方提成為銷售額的百分之五十，如因乙方原因，教學工作不能順利進行，則乙方只得銷售額的百分之三十
六、合同解除
1、一方有違反本合作協議的，另一方有權解除合作協議
2、合作協議期滿
3、雙方同意終止協議的
4、一方合夥人出現法律上問題及做對對方有損害的事情，另一方有權解除合作協議
七．備註：
本協議一式兩份，雙方各執一份，經簽字或蓋章後生效，兩份協議具有同等法律效力。其他未盡事宜由雙方商議決定！

二、相關費用問題佔地
1）假如在室外活動中，產生了場地佔用費用，由三家共付，aa制支付（場地及相關費用）
2）試聽券發放和費用（試聽券）
@試聽券可以三家合做一張，形成通用（備註，其他培訓機構自定），利大於弊！ @試聽券產生費用（由三家共付 AA制，包括設計，印製）
@試聽券發放問題（主題活動，日常），各自機構自試聽券使用之後，不得使用自己特製試聽券，主題活動大家儘量以宣傳為主，試聽券可以發放，但是招生性質不能太強。
3）表演活動
表演活動，包括表演服飾，場地佔用，製作人員費用，光盤刻錄等，為友好關係，3家AA制。
4）宣傳資料
互換的宣傳資料（100份，每2個月索要一次）需要放到各機構的資料索取處，在不耽誤自身業務的基礎上，去宣傳。
5）學員轉介紹
三家機構既達成合作夥伴形式，而且業務基本不衝突，所以要為彼此考慮，這樣才能在回龍觀眾多機構中造成影響，在家長心中樹立正面形象。學員介紹，其中利潤分配按每家機構的現狀制定，實行月結（有好的方式再議，從當天開始計算接下來的一個月），三家機構不能互相欺瞞，否則視為自動退出合作伙伴，按協議處理。
6）公開課
如果機構有開公開課的意向，可提前寫策劃，包括時間，地點，要求（一家）機構的配合學員數，產生費用，由提出講公開課方出，公開課只是大家交流的一種形式，試聽券可以放，但是不得在對方機構招生，後果自負！
